  • Commercial Contracts

    We advise on, draft and negotiate a wide range of commercial contracts, including sale of goods, services, hire, commission, distribution and marketing agreements. In each case, we map out your objectives and work with you to tactfully resolve any red flags that may exist in any other party’s proposals.

  • Website Terms And Policies

    We help prepare website terms of use and UK GDPR-compliant privacy and cookies policies. If you are selling goods, services or digital content via your website, we will also incorporate the required terms and conditions and any additional specific requirements relating to regulated or restricted goods or services.

  • Standard Terms And Conditions

    We can prepare the standard terms and conditions that underpin the sale of your goods or the services you provide to your customers and clients. If you are selling to other businesses or directly to consumers, different considerations do apply, which we can advise you on. We can also review and negotiate any standard terms and conditions that may apply when purchasing goods or services from your suppliers.

  • Option Agreements

    We handle put and call option agreements for a wide range of assets, including shares and land. We also carry out any necessary due diligence to make sure the preferred option is validly granted and any requisite third party consents are obtained. If property is involved, we can help you complete any registration requirements from HM Land Registry.

  • Introducer Agreements

    Whether you are appointing an introducer or acting as an introduction agent yourself, we put the necessary introducer agreements in place for you. We carefully and accurately define: what constitutes as an introduction; when a commission becomes due; how it is calculated, rights and obligations of the introducer; payment terms and any consequences of termination.

  • Confidentiality Agreements

    We draft comprehensive confidentiality agreements or NDA’s for a variety of use cases, frequently at the outset of an M&A process or when starting discussions with a view to starting a new commercial relationship. They can be an important tool to help preserve the integrity of your business secrets and can apply mutually where both parties will be sharing confidential information.

  • Licensing And Franchise

    Designers, innovators and other creatives must be able to exploit their intellectual property and control the extent to which it can be exploited by others. We can provide you with guidance on the most appropriate licensing structures and formalise the structures for you in writing. This is often relevant in the context of franchising – we have extensive experience of setting up and implementing franchise agreements.

  • Intellectual Property

    We can help with all aspects of establishing, protecting and exploiting your intellectual property rights. This includes registering trademarks, design rights and domain names in the UK and other jurisdictions. We can also advise you on protecting your copyright and other existing rights, as well as how to avoid infringing the rights of others.

  • Data Protection

    Data protection has become increasingly significant in recent years. We advise individuals and businesses on their rights and responsibilities under the UK data protection laws, including GDPR. If required, we can also carry out a full data protection audit of all of your business procedures to make sure you are maintaining compliance in line with the latest requirements.
