Overview

Our energy and natural resources team members are recognised experts within the energy and natural resources sector. Their experience spans jurisdictions all over the world.

The team frequently advises regulatory bodies, host states, financial institutions, investors, state and independent energy companies, contractors and technology organisations on all legal matters. This includes regulation, cross-border mergers and acquisitions, project finance, corporate finance and group structuring.

We have particular experience in upstream, midstream and downstream oil and gas matters that span entire project lifecycles – from entry and licence acquisition through to exploration, joint venture structuring, facility development and operations, production, transportation and offtake, and on to decommissioning and reclamation. We can also advise on mining and renewable energy (anaerobic digestion, solar, wind and Combined Heat and Power) projects.

Mergers and acquisitions

We represent Government institutions and listed and independent oil and gas companies. We work on projects all over the world, particularly within the CIS region; where our team has worked on projects, including the Karachaganak Field in Kazakhstan – one of the largest oil discoveries in the world.
Government contracts

We have an in-depth understanding of how global Governments contract with upstream energy companies from a licensing, Production-Sharing Contracts (PSC) and concession basis. We can also advise on the structuring of large international projects, involving tax and economic analysis, and the impact of double taxation treaties on large infrastructure projects.
Commercial contracts

We have extensive experience of drafting and negotiating numerous agreements specifically relating to the energy sector. This includes joint operating, unitisation, product transportation, Floating Production Storage and Offloading (FPSO), tie-in, sales and decommissioning agreements, as well as project and corporate finance agreements.
Regulatory

We have highly established working relationships with the UK’s oil and gas authority and have worked with the Commonwealth Secretariat and other Government institutions around the world. For example, we advised the Icelandic Government in relation to their first licensing round.
